1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Client") and The AI Media Centre ("we", "our", "us", "Company") governing your access to and use of our website, platform, and services.

By accessing our website or subscribing to our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms and conditions that may apply.

2. Description of Services

The AI Media Centre provides AI-powered business automation services including but not limited to:

• AI-enhanced website development and hosting
• AI chatbot and conversational automation
• WhatsApp Business automation
• Lead capture and management systems
• Business process automation
• Marketing automation services
• Analytics and reporting dashboards

Service inclusions vary by membership tier. Specific features and limitations are detailed in your selected service plan.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding contracts
• Be a registered business entity or sole trader (for business services)
• Provide accurate and complete registration information
• Not have been previously banned from using our services

4. Account Registration

When you create an account with us, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Subscription and Fees

5.1 Pricing

All prices are displayed in British Pounds (GBP) and exclude VAT unless otherwise stated. VAT will be added at the current UK rate where applicable.

5.2 Billing Cycle

Subscriptions are billed monthly in advance. Your billing date is the date of your initial subscription, and you will be billed on the same date each subsequent month.

5.3 Payment Methods

We accept major credit and debit cards processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

5.4 Failed Payments

If a payment fails, we will attempt to charge your payment method again. After 3 failed attempts, your account may be suspended until payment is resolved.

6. Cancellation and Refunds

Please refer to our Refund Policy for detailed information about cancellations and refunds.

In summary: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No pro-rata refunds are provided for partial months.

7. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Send spam or unsolicited communications
• Engage in fraudulent or deceptive practices
• Harass, abuse, or harm others
• Collect personal data without consent
• Interfere with or disrupt our services
• Attempt to gain unauthorized access to our systems
• Use our services for any illegal or unethical purpose

8. Intellectual Property

8.1 Our Intellectual Property

The The AI Media Centre platform, including all software, designs, branding, and documentation, remains our exclusive property. You are granted a limited, non-exclusive licence to use our services for your business purposes during your subscription.

8.2 Your Content

You retain ownership of content you provide to us. By submitting content, you grant us a non-exclusive licence to use, store, and process your content as necessary to provide our services.

8.3 Website Ownership

Websites created for you using our platform are owned by you. Upon subscription termination, you may request a copy of your website files. Note that proprietary AI features and integrations may not be transferable.

9. Service Level and Support

We strive to maintain 99.9% uptime for our services. However, we do not guarantee uninterrupted service and are not liable for service interruptions due to:

• Scheduled maintenance (announced in advance)
• Force majeure events
• Third-party service provider issues
• Client-side technical issues

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for loss of profits, data, or business opportunities
• We provide services "as is" without warranties beyond those required by law

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud or death/personal injury caused by negligence.

11. Indemnification

You agree to indemnify and hold harmless The AI Media Centre, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to our services immediately if you:

• Breach these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Use our services in a way that harms others

Upon termination, your right to use our services ceases immediately. We may retain your data as required by law.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through our platform at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also have the right to bring proceedings in your local courts.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
